  Legal & Compliance Specialist (Paralegal / Legal Operations) Overview

We are seeking a detail-oriented Legal & Compliance Specialist to support a growing organization with a broad range of corporate governance, regulatory compliance, and legal operations initiatives. This role is ideal for a paralegal or legal operations professional who thrives in a fast-paced, hands-on environment and is comfortable managing multiple workstreams across corporate, compliance, and transactional matters.

Experience in the construction or infrastructure space is a plus, but not required.


Key Responsibilities

Corporate Governance & Filings

  • Manage and coordinate corporate filings across multiple jurisdictions, including annual reports, entity registrations, and renewals
  • Maintain corporate records, entity structure, and governance documentation
  • Track and ensure compliance with state-level requirements and deadlines

State Prequalification & Licensing

  • Prepare and submit contractor prequalification packages for state and municipal agencies
  • Maintain and renew licenses, registrations, and certifications required for operations
  • Monitor regulatory changes impacting qualification status

Compliance & KYC

  • Support Know Your Customer (KYC) and vendor onboarding processes, including document collection and verification
  • Assist with internal compliance programs, ensuring adherence to applicable legal and regulatory standards
  • Maintain organized compliance records and audit trails

Legal Due Diligence (Buy-Side M&A)

  • Assist with legal due diligence for acquisitions and strategic investments
  • Review and organize data rooms, summarize key findings, and track diligence requests
  • Coordinate with internal and external stakeholders (legal counsel, finance, deal teams)

Contract Lifecycle Management (CLM)

  • Support the implementation and ongoing management of a Contract Lifecycle Management system
  • Help design workflows, templates, and contract repositories
  • Assist with contract intake, organization, and tracking throughout the contract lifecycle

General Legal Operations

  • Improve legal processes and workflows to increase efficiency and scalability
  • Coordinate with outside counsel on various matters
  • Provide ad hoc support on legal and compliance initiatives as needed

Qualifications
  • Bachelor's degree required; Paralegal certification or equivalent experience preferred
  • 5+ years of experience in a paralegal, legal operations, or compliance role
  • Experience with corporate governance, filings, or regulatory compliance
  • Familiarity with KYC processes and/or due diligence workflows
  • Exposure to contract management systems and legal tech tools preferred
  • Strong organizational skills with exceptional attention to detail
  • Ability to manage multiple priorities and meet deadlines in a dynamic environment
  • Excellent communication and collaboration skills

Nice to Have:

  • Experience in construction, infrastructure, or engineering-related industries
  • Experience supporting M&A transactions or corporate development teams
  • Familiarity with multi-state regulatory environments
