Job Summary/Description:
A leading food manufacturer is looking for bring on an Internal Commercial Legal Counsel. This individual will be responsible for Drafting, reviewing, and negotiating a wide range of commercial agreements, including but not limited to customer contracts, supplier agreements, licenses, and vendor agreements. This role requires someone who is aware and continuously educating themselves on laws that govern food & beverages and identifying current and potential risks and help the organization mitigate these risks.
2. Providing legal guidance on various commercial matters, including corporate governance, compliance, risk management, and regulatory issues.
4. Collaborating with executives, managers, and other departments, to address legal issues.
5. Participating in contract negotiations and dispute resolution processes, including mediation, arbitration, and litigation when necessary.
6. Developing and implementing policies, procedures, and best practices to mitigate legal risks and promote compliance with legal requirements.
7. Keeping abreast of changes in laws, regulations, and industry trends relevant to the company's operations and proactively advising management on potential impacts.
8. Assisting with corporate transactions, such as mergers and acquisitions, due diligence reviews, and corporate restructuring initiatives.
9. Managing relationships with external legal counsel and overseeing legal matters outsourced to external firms.
10. Providing training and guidance to employees on legal matters and promoting a culture of compliance within the organization.
Salary: $100,000-$150,000
Job Location: GA, NJ or CA
Ancillary Benefits
Must Haves:
- 6-20 years’ experience focused on commercial law
- 3+ years within the food industry (manufacturing, distribution, restaurant, chain, etc. or law firm experience where clients were within this industry)
- Juris Doctor (JD) degree from an accredited law school
- Admission to the state bar and in good standing
- Strong commercial contract development and negotiation experience
- Strong experience with food industry laws and regulations and ability to provide sound risk mitigation advice
