Location Remote  East Coast

Pay Range $70-75 per hour

The Planet Group is seeking a Compliance Attorney to support control room functions and help scale private investment activity. This role requires frequent interaction with investment teams and business partners, along with a strong understanding of wall-crossing procedures, conflicts checks, company research, non-disclosure agreements, and transaction monitoring within compliance systems.

Responsibilities
  • Support policies and processes designed to mitigate and manage potential conflicts arising from public and private investment activity
  • Monitor deal pipeline activity, collaborate with deal teams, and ensure accurate tracking of potential transactions within internal systems
  • Research potentially impacted public securities and issuers, as well as relevant company and transaction details, to support materiality determinations and conflicts assessments
  • Conduct ongoing review of deal developments and transaction status
  • Review, negotiate, and execute deal-related non-disclosure agreements (NDAs)
  • Assist with implementation and integration of compliance control room platforms, including migration of legacy data and coordination with related pipeline systems
  • Support regulatory analysis involving securities and insurance-related compliance matters
  • Monitor and track regulatory and industry developments; draft summaries, guidance, and proposed policy language as needed
  • Participate in ad hoc Compliance projects, including risk assessments, regulatory reporting, governance initiatives, and other special projects
  • Provide support across broader investment compliance programs, including policies, code of ethics, testing, and controls
Qualifications
  • Bachelor's degree and 2+ years of relevant investment, compliance, or legal experience
  • JD required, along with control room experience and experience reviewing and negotiating deal-related M&A NDAs
  • Licensed to practice law in at least one U.S. state
  • Understanding of fixed income asset classes and investment products; private credit experience is a plus
  • Basic knowledge of securities regulations and investment compliance topics, including:
    • Investment Advisers Act of 1940
    • Management of material non-public information (MNPI)
    • SEC and other regulatory requirements for buy-side institutional investors
  • Experience with control room and trading-related systems preferred (e.g., DealCloud, MCO, Aladdin, Bloomberg, PitchBook, CapIQ)
  • Interest in expanding knowledge of regulatory, legal, and compliance topics related to asset management and insurance industries
  • Strong written and verbal communication skills
  • High ethical standards, professionalism, and ability to collaborate effectively across teams
